Counter-motion for Vattenfall Europe Shareholder Meeting on 29 June 2005

The Umbrella Organisation of Critical Shareholders proposes not to relieve the current board from its duties due to the following reasons:

1. Uncertainty about plans for new open cast mines
Every single one of the five open cast mines managed by Vattenfall has already lead to the destruction of villages in Lusatia - and this destruction of naturally evolved settlements is set to go on and on.
In addition to the sorbian-german villages already considered for destruction in detail (Rohne, Mulkwitz, Mühlrose and parts of Schleife located in the area of the Nochten open cast mine in North Saxony), speculations about new open cast mines near Cottbus in Brandenburg County have now emerged. This could for example affect Kahren district in the city of Cottbus, which is home to a 1000 people. Vattenfall has not dismissed those speculations, but has specifically stated that the company would keep all options open.
Meanwhile, it was revealed that, with the privatisation of Lusatian mining companies, Vattenfall was granted right of first refusal for all large lignite resources in the area.

2. Proposed destruction of protected landscapes near Cottbus
Vattenfall should long have given up their endeavours to include the landscape of Lacoma Wetlands in the extraction area of the Cottbus-Nord open cast mine. Precautions should have been taken enabling an orderly closure of the mine. Social measures for affected employees would have to be put in place in order to avoid operations-related redundancies.

3. Contacts with persons affected by the mining operations or persons of different opinion
The board would have to ensure that in contacts with persons affected by the company's operations or with persons of different opinion provocative actions are avoided. The manager of the Department for Mining Impacts and Relocations, J. Kretschmar, and possibly other persons with responsibility, have seriously damaged the company's reputation and should therefore leave the company. Various incidents that occurred during the last few months and years have resulted in significant image problems for Vattenfall Europe Mining.
Three case studies
The incidents described in the case studies all occurred under the responsibility of J. Kretschmar. They are not acceptable to a modern large-scale enterprise. For this reason, the management should consider replacing personnel linked to the incidents.
